THE FOOTHILL PARENT-FACULTY ASSOCIATION BY-LAWSPrint a copy of the By-Laws HEREARTICLE I - NAMEThe name of this organization shall be “The Foothill Parent-Faculty Association”. ARTICLE II - PURPOSEThe purpose of this Association shall be to foster and maintain communication among the school, the home and the community; to promote and enrich the welfare and education of youth; to provide service and assistance for student activities through the cooperative effort of parents, teachers and interested members of the community; and to advance educational opportunities for parents. ARTICLE III - MEMBERSHIPEvery parent or guardian of a student attending Foothill Middle School is a member of this Association. All faculty members of this school are members of this Association and shall be entitled to full rights and privileges. Each member of the Board shall be a member in good standing of this Association.
ARTICLE IV - DUESNo membership dues are required.
ARTICLE V - OFFICERSThe elected officers shall be President, First Vice President, Second Vice President, Secretary, Financial Secretary and Treasurer. The Principal of the school shall also be an officer.
ARTICLE VI - DUTIES OF OFFICERSSection 1 - President The President shall preside at all meetings; appoint all ad-hoc committee chairmen; be an ex-officio member of all committees except the nominating committee; call all meetings of the Board; and countersign all checks with the Treasurer. If a vacancy occurs in any position other than an elected office, the President shall appoint a replacement. Section 2 - First Vice President The First Vice-President shall act in the absence of the President and in the event of such absence shall assume the duties and responsibilities of the President; shall coordinate the fall fund-raising activities; and accept other duties as assigned by the President. Section 3 - Second Vice President The Second Vice President shall act as an aid to the President; represent the school on the Board of Directors articulating the policies of said school; act as a liaison among the faculty, parents and Board; and accept other duties as assigned by the President. Section 4 - Secretary The Secretary shall keep accurate records of all meetings of this Association; handle all correspondence of this Association as directed by the President; and maintain the By-Laws. Section 5 – Financial Secretary The Financial Secretary shall deposit all funds of this Association in a bank designated and approved by the Board; work closely with the Treasurer; and provide support as needed to fund-raising committees. Section 6 – Treasurer The Treasurer shall pay and disburse all warrants, drafts or checks as approved by the Board of Directors and countersigned by the President or the First Vice President in the absence of the President; keep an accurate record of all receipts and disbursements; render a report at all Board and membership meetings and at such times as directed by the President; and act as chair of the Finance and Budget Committees.
ARTICLE VII - BOARD OF DIRECTORSSection 1 The Board of Directors (the “Board”) shall consist of the officers as herein provided, the Vice Principal of the school, and chairs and co-chairs of the Standing Committees. Section 2 The Board shall be empowered to transact routine business and make recommendations to the membership on matters of major concern; shall outline the work of this Association and conduct such work as required for the successful execution of the planned activities; shall fill all vacancies occurring in the elected offices with the exception of the President whose position shall be filled by the First Vice President; and shall approve all disbursements and obligations. Section 3 The term of office for each member of the Board shall be from July 1 through June 30, except that the term of office of the Treasurer and Financial Secretary shall be from August 1 to July 31. Section 4 No member shall hold more than one office at a time without approval of the Board, and no elected member shall be eligible to serve more than two consecutive terms in the same position without approval of the Board.
ARTICLE VIII - NOMINATIONS AND ELECTIONSSection 1 The Nominating Committee shall consist of up to six members. It is the duty of this committee to nominate candidates for the elected offices to be voted and approved at the membership meeting to be held in the Spring. The Nominating Committee shall also submit recommendations for all other Board positions. Candidates for elected offices and recommendations for all other Board positions shall be presented to the Board for approval prior to the membership meeting. Members of the Nominating Committee may include a Foothill faculty representative, a Foothill administrator, two members of the Board and four individuals from the general membership. Members of this committee will be appointed by the Board at least 15 days prior to the membership meeting at which the elections will be held. Additional nominations will be accepted from the floor at the membership meeting. No one may be nominated without his or her prior approval. Section 2 At the membership meeting, if there are no nominations from the floor, the election of the Board may be made by voice vote. Section 3 A candidate must receive a majority of the votes cast in order to be elected. ARTICLE IX – BOARD COMMITTEESSection 1 The Standing Committees shall be determined by the Board. Section 2 A Budget Committee shall be composed of the President, the Treasurer, and the Principal or Vice Principal. It is the duty of this committee to formulate a budget for the next fiscal year beginning August 1, to submit it to the membership for approval at a membership meeting to be held before the end of the school year; and to provide for an annual audit. Section 3 A Finance Committee shall be composed of the President, the First or Second Vice President, Treasurer, Principal or Vice Principal, one Faculty Liaison and one additional Board member. It is the duty of this committee to review all funding requests submitted in connection with the fall proposals line-item in the budget and to make recommendations to the Board for final approval. Section 4 All other Standing Committees shall meet as required to carry out the work of this Association. Section 5 The Auditor shall be appointed by the Board; he/she shall conduct a review of the statement of income, expenditures, and cash balance for the fiscal year and render an annual written report to the Board as soon as practicable after the close of the fiscal year.
ARTICLE X - MEMBERSHIP MEETINGSSection 1 The Board and the membership shall meet monthly during the school year and at such other times as requested by the President. No more than two monthly meetings may be canceled during one school year by the Board of Directors. A membership meeting shall be held in the Spring at a time, date and location to be announced by the Board to vote on the recommendations of the Nominating Committee. A membership meeting shall be held subsequent to the meeting at which Board members are elected, to adopt the budget for the next fiscal year. Written notice of the meetings at which elections shall be held and the budget adopted shall be given not less than two weeks in advance. Section 2 Special meetings may be called by the Secretary as requested by the President or the Board. Notification which states the purpose of the meeting shall be given to the membership at least one week in advance. Section 3 Twelve members shall constitute a quorum at any membership meeting; two of whom must be elected officers of this Association. Each member family shall have one vote. Each vote must be cast in person. Any matter presented for a vote shall be decided by a simple majority of the quorum, except that these By-Laws may only be amended by a two-thirds vote of the members present.
ARTICLE XI - PARLIAMENTARY PROCEDURESRobert’s Rules Of Order Newly Revised shall govern this Association in all cases to which they are applicable and in which they are consistent with these By-Laws.
ARTICLE XII - AMENDMENTSNotice of proposed amendments to these By-Laws must be submitted to the membership in writing at least two weeks in advance.
